1. Dispositions générales
1.1 Le présent accord de licence utilisateur final (ci-après dénommé « accord de licence ») constitue la base contractuelle vous liant juridiquement, en tant que « preneur de licence », à la société Native Instruments GmbH, Schlesische Str. 29-30, 10997 Berlin, Allemagne (ci-après dénommée « Native Instruments »), eu égard à l'utilisation des logiciels produits par Native Instruments, y compris les médias, documents (par exemple descriptions de programmes, instructions d'utilisation) ainsi que les documentations et supports divers (ci-après dénommés le(s) « produit(s) »).
1.2 En installant et en enregistrant le logiciel sur ton ordinateur, tu déclares accepter le présent accord de licence. Si tu n'acceptes pas cet accord de licence, tu n'es pas en droit d'installer le produit. Dans ce cas, et à la condition d’avoir acheté un produit en boîte, tu as la possibilité de rapporter le produit complet (y compris tous les documents écrits, le matériel d'emballage, etc.), au revendeur chez qui tu as initialement acquis le produit. Tu disposes pour ce faire d'un délai de 14 (quatorze) jours courant depuis la date d'achat. En cas d'achats sur la boutique en ligne de Native Instruments, merci de renvoyer le produit complet (y compris tous les documents écrits, le matériel d'emballage, etc.) à Native Instruments GmbH, Schlesische Str. 29-30, 10997 Berlin, Allemagne. Le prix d'achat dont tu t‘es acquitté te sera entièrement remboursé.
2. Enregistrement / Activation
2.1. Il te faut télécharger l’outil logiciel "Native Access" de Native Instruments, créer un compte, puis enregistrer le logiciel sous license avec le numéro de série fourni. Il n’est pas possible d’utiliser des Produits Native Instruments qui ne sont pas activés au-delà du dénommé "mode démo" (utilisation jusqu’à 15/30 minutes).
2.2. L’enregistrement nécessite une connection Internet. Lors de l'inscription, il te faut entrer ton nom complet ainsi que ton adresse email. Ces données sont stockées avec le numéro de série Native Instruments dans notre base de données d'enregistrement. 2.3. L'activation de Native Instruments utilise des informations relatives aux composants système essentiels de ton ordinateur et les crypte dans un « fichier de demande d'activation ». Ces informations n’incluent aucune donnée personnelle. Le « fichier de demande d'activation » sert à élaborer un code d'activation qui fonctionne exclusivement sur l'ordinateur sur lequel le « fichier de demande d'activation » a été généré.
2.4. Si tu souhaites utiliser ton Produit Native Instruments sur un autre ordinateur, ou si tu apportes des modifications importantes à ton ordinateur, tu devras peut-être réactiver ton produit Native Instruments.
2.5. Si tu as acheté un logiciel de tierce partie, tu autorises Native Instruments de mettre tes données d’enregistrement à la disposition de l’organisme tiers.
3. Droits d'exploitation
3.1 Les produits de Native Instruments sont protégés par la loi. Native Instruments détient et conserve la propriété intellectuelle des Produits cédés au preneur de Licence. Le preneur de Licence n’acquiert que le droit d’utiliser le Produit dans le cadre ci-après décrit. Tout autre utilisation ou exploitation non explicitement concédée au preneur de Licence dans le présent accord de licence utilisateur final sont interdits sauf consentement écrit de Native Instruments. Plus précisément, le preneur de Licence s'interdit notamment de copier ou faire copier le Produit ou parties de celui-ci, de le décrypter ou faire décrypter, de le déconstruire techniquement ou de le faire déconstruire techniquement. Le preneur de Licence s'engage à assurer, par des mesures appropriées et raisonnables, que des tiers, y compris ses propres collaborateurs ne puissent pas utiliser ou valoriser sans en avoir le droit les produits achetés auprès de Native Instruments. Le preneur de Licence répondra envers Native Instruments d'éventuelles pertes ou dommages dans ce contexte. Le preneur de Licence n’a pas le droit de reproduire et/ou d'utiliser de quelque manière que ce soit le Produit et les sites web, interfaces utilisateur et composants logiciels associés, ainsi que tous les contenus audio et visuels qu'ils contiennent, à des fins d'exploration de données (art. 44b de la loi allemande sur le droit d'auteur) et/ou d'entraînement à des technologies d'intelligence artificielle.
3.2. Le preneur de Licence acquiert un droit d'utilisation non exclusif, illimité dans le temps et l'espace d'utiliser les Produits cédés. Native Instruments n'est pas dans l'obligation de céder les codes sources, y compris la documentation de développement, sur lesquels sont basés les logiciels.
3.3. Le preneur de Licence est en droit d'installer et d'utiliser personnellement le logiciel sous licence sur un maximum de trois appareils (par ex. un ordinateur, un ordinateur portable, un poste de travail), à la condition que le produit ne soit régulièrement utilisé que sur un appareil. L'utilisation simultanée sur plusieurs périphériques matériels n’est pas autorisée. Les Produits ne peuvent pas être utilisés sur un réseau par plusieurs utilisateurs, à moins que chaque utilisateur possède une licence. Si le preneur de Licence modifie le matériel, tous les logiciels du matériel utilisé doivent être supprimés.
3.4 Le preneur de licence est en droit de copier le logiciel qui lui a été cédé à la condition que la copie respective soit nécessaire à l'utilisation contractuellement convenue. Le preneur de licence est en droit de réaliser une copie de sauvegarde si cela est nécessaire pour assurer l'utilisation future.
3.5 Le preneur de licence s'interdit de modifier le logiciel, sauf s'il le faut pour préserver ou restaurer les fonctionnalités convenues du logiciel acheté.
3.6 Cession du logiciel à des tiers
a) La location ou le prêt du Logiciel sous licence à un tiers est formellement interdit.
b) Sauf règlement en disposant autrement dans le présent accord de licence, le preneur de licence est en droit d'aliéner le logiciel à un tiers ou de le lui céder durablement à titre gracieux, à condition que le tiers déclare expressément par écrit accepter les présentes dispositions de la licence et que le preneur de licence cesse complètement d'utiliser le logiciel, qu'il supprime toutes les copies du logiciel installées sur ses ordinateurs et – dans la mesure où le logiciel n'a pas été acquis par voie de téléchargement – les efface ou qu'il remette la mémoire d'origine des données au tiers (sauf s'il est obligé par la loi de la conserver pendant une période prolongée). En outre le preneur de licence s'engage à désenregistrer auprès de Native Instruments le logiciel acquis. Sur demande correspondante émanant du preneur de licence via l'adresse électronique enregistrée chez Native Instruments, le numéro de série du Produit sera transférée au tiers par Native Instruments, sachant qu'en même temps sera effacée l'inscription du preneur de licence relative au logiciel acquis.
3.7 Si une bibliothèque de sons devait faire partie du Produit que tu as acquis, les particularités suivantes s'appliquent parallèlement à l'accord de licence (« accord de licence sons ») : Les échantillons, instruments et presets fournis peuvent être utilisés conformément aux dispositions du présent accord sans l'accord préalable de Native Instruments relativement à chaque cas d'espèce, à des fins de production musicale et audio commerciale et non commerciale. Par contre, l'utilisation de ce produit (en particulier des échantillons, des instruments et des préréglages) pour élaborer une bibliothèque de sons ou comme bibliothèque de sons pour tout type de synthétiseur, d'instrument virtuel, de bibliothèque d'échantillons, de produit basé sur des échantillons ou d'autres instruments de musique est strictement interdite. Les échantillons individuels, jeux de sons et séquences audio en boucle ne doivent pas être diffusés séparément (à des fins commerciales ou autres). En outre, ces échantillons, jeux de sons et contenus audio ne doivent pas être nouvellement emballés, intégralement ou en partie, comme échantillons audio, bibliothèques de sons ou effets sonores.
3.8 En outre s'appliquent aux différents produits de Native Instruments les particularités suivantes :
a) Les lots (les packs de produits incluant des logiciels et matériaux ou des packs uniquement de logiciels) ne peuvent être aliénés qu'au complet ou remis gratuitement à des tiers. Les différents composants d'un lot ne doivent pas être revendus / transférés séparément.
b) Les produits de Native Instruments arborant la mention « NFR » (« Not For Resale » = Revente interdite) ou qui ont été cédé comme tels au preneur de licence, doivent être utilisés exclusivement à des fins de démonstration, de tests ou d'évaluation. Les produits NRF ne doivent pas être revendus ou transmis à titre gracieux à des tiers. Les produits NRF ne peuvent bénéficier d'aucune offre de mise à jour, de mise à niveau ou de crossgrading, il n'est pas non plus possible de les acquérir avec des bons d'achats ou des coupons, ou de les échanger contre ceux-ci ou ceux-là. En outre, l'acquéreur d'un produit NFR ne peut prétendre à aucun des bons d'achats éventuellement envoyés avec la version standard du produit respectif.
c) Les produits de Native Instruments arborant la mention « EDU » pour « version éducative » ou qui ont été cédés comme tels au preneur de licence, ne doivent être utilisées que par des élèves ou personnes qui fréquentent des établissements d'enseignement ou qui y travaillent. Valent comme ayant-droits outre les élèves, les étudiants, collaborateurs de la faculté, personnels et collaborateurs administratifs qui fréquentent un établissement d'enseignement (écoles privées / publiques, collèges, universités et institutions similaires) et/ou y travaillent. Les produits EDU ne doivent pas être utilisés à des fins commerciales, leur revente et leur remise à titre gracieux à des tiers sont interdites. Les produits EDU ne peuvent bénéficier d'aucune offre de mise à jour, de mise à niveau ou de crossgrading, il n'est pas non plus possible de les acquérir avec des bons d'achats ou des coupons, ou de les échanger contre ceux-ci ou ceux-là. En outre, l'acquéreur d'un produit EDU ne peut prétendre à aucun des bons d'achats éventuellement envoyés avec la version standard du produit respectif.
d) Les produits de Native Instruments arborant la mention « Demo Version » ou qui ont été cédés comme tels au preneur de licence, doivent être utilisés exclusivement à des fins de démonstration, de tests ou d'évaluation. Les versions de démonstration ne doivent pas être utilisées à des fins commerciales, leur revente et leur remise à titre gracieux à des tiers sont interdites.
4. Droits protégés de tiers
Certains contenus inclus dans les Produits logiciels Native Instruments, ainsi que tous les droits de propriété intellectuelle associés, appartiennent à des tiers. Ce contenu peut être protégé par le droit d’auteur ou par d’autres lois et traités sur la propriété intellectuelle, et peut être soumis aux termes et conditions du tiers fournissant le contenu.
5. Obligations de protection
Les mentions d'auteur, numéros de série ainsi que différentes particularités servant à l'identification des Produits ne peuvent en aucun cas être retirés du logiciel ou modifiés.
6. Garantie, responsabilité, dommages et intérêts
Relativement à d'éventuels recours en garantie, en responsabilité et/ou en dommages et intérêts s'appliquent les Conditions Générales d'Affaires de Native Instruments : https://www.native-instruments.com/en/company/legal-information/terms-and-conditions/
7. Dispositions de clôture
7.1 Si une disposition du présent accord de licence devait être entièrement ou partiellement dénuée d'effets de droit ou le devenir, cette circonstance n'influera aucunement sur les dispositions restantes. Les parties s'engagent à remplacer la disposition dénuée d'effets de droit par une règlementation valide et se rapprochant au plus près de la disposition originelle.
7.2 Si le preneur de licence a qualité de commerçant dans l'esprit du Code allemand du commerce (HGB) ou de personne morale de droit public ou s'il s'agit d'une entité patrimoniale spéciale de droit public, la compétence judiciaire revient aux tribunaux de Berlin (Allemagne), ville qui est également le lieu de juridiction. Native Instruments se réserve toutefois le droit d'intenter une action envers le preneur de licence sur le territoire de son domicile privé ou du siège de son entreprise.
7.3 Le présent accord de licence est régi par les lois en vigueur en République fédérale d'Allemagne, à l’exclusion de la Convention des Nations Unies sur les Contrats de vente internationale de marchandises (CSIG), tandis que les consommateurs résidant régulièrement à l’étranger peuvent également se référer aux lois en vigueur de l’État où ils résident. La langue contractuelle est l’allemand, dans la mesure où aucun autre accord n’est convenu par écrit.

4. Droits protégés de tiers

7.2 Si le preneur de licence a qualité de commerçant dans l'esprit du Code allemand du commerce (HGB) ou de personne morale de droit public ou s'il s'agit d'une entité patrimoniale spéciale de droit public, la compétence judiciaire revient aux tribunaux de Berlin (Allemagne), ville qui est également le lieu de juridiction. Native Instruments se réserve toutefois le droit d'intenter une action envers le preneur de licence sur le territoire de son domicile privé ou du siège de son entreprise.
