I. 一般条項
1.1 本ソフトウェア使用許諾契約書(以下「EULA」とします)は、お客様(以下「ライセンシー」とします)とNative Instruments GmbH,Schlesische Str29-30,10997 Berlin,Germany (以下「Native Instruments」とします) との間での、Native Instrumentsが作成したソフトウェア、関連メディア、書類(プログラムの解説、マニュアルなど)、仕様書や資料 (以下「製品」とします)の使用権の許諾に関する条件を定めるものです。
1.2 お客様のコンピュータにソフトウェアがインストール、登録された時点で、この条件にご同意いただいたものとします。この条件に同意されない場合は、ソフトウェアをインストールすることはできません。その場合、お客様がボックス版製品を購入された場合につきましては、製品一式(すべての書類、パッケージ、またはそれに類するもの)をご購入後14日以内に、お求めいただいた販売店に返品してください。Native Instruments オンラインショップで購入された場合につきましては、弊社カスタマーサポート(当社のウェブサイトにフォームをご用意しています)までご連絡いただき、製品一式(すべての書類、パッケージまたはそれに類するもの)をご返品ください。お支払いいただいた金額は全額返金されます。
II.登録／アクティベーション
2.1 Native Instrumentsのソフトウェアツール 「Native Access」 をダウンロード後、アカウントを作成し、提供されたシリアル番号を使用して許諾されたソフトウェアを登録してください。いわゆる「デモモード」の利用制限(最大15分/30分の使用)を超え、アクティベートされていないNative Instruments製品を使用することはできません。
2.2 登録にはインターネット接続が必要です。お客様の名前とメールアドレスの入力が必要です。これらのデータは、Native Instrumentsのシリアル番号とともに当社の登録データベースに保存されます。Native Instrumentsの個人データの取り扱いに関する詳細は、プライバシーポリシーを参照してください。

2.3 Native Instrumentsのアクティベーションでは、お客様のコンピュータのシステムコンポーネントに関する基本的な情報を用い、この情報を「Activation Request Code」としてコード化します。この情報には個人情報は含まれません。「Activation Request Code」は、アクティベーションキーを生成するために用いられます。アクティベーションキーは、「Activation Request Code」が生成されたコンピュータ上でのみ機能します。
2.4 Native Instruments製品を別の機器で使用する場合、または機器に大幅な変更を加える場合は、Native Instruments製品の再アクティベートが必要になる場合があります。
2.5 お客様が第三者製ソフトウェア製品を購入した場合は、Native Instrumentsがお客様の登録データを第三者に提供することに同意いただいたものとします。
III.使用範囲
3.1 Native Instrumentsの製品は法律により保護されています。 製品の知的財産権はNative Instrumentsに帰属します。ライセンシーは、以下の範囲内においてのみ製品の使用権利があります。本EULAでライセンシーに明確に許諾されていない使用は、Native Instrumentsによる書面の同意なしには許可されません。具体的に、ライセンシーは、製品あるいは製品の一部を複製、複写、または逆コンパイル、リバース・エンジニアリングを行ってはならないものとします。ライセンシーは、適切かつ合理的な手段により、自社の従業員を含む第三者が本製品を不正に使用しないことを保証しなければなりません。ライセンシーは、この関係において、Native Instrumentsが被るあらゆる損失や損害に責任を負うものとします。
3.2 Native Instrumentsは、製品の使用時間、および使用する場所に関して制限のない非独占的な権利をライセンシーに許諾します。Native Instrumentsは、関連する開発書類を含め、ソフトウェアの基となるソースコードを譲渡する義務を負いません。
3.3 ライセンシーは、許諾ソフトウェアを3台の機器(例:1台のコンピューター、1台のノートパソコン、1台のワークステーション)にインストールして個人的に使用することができます。ただし、当該ソフトウェアが1台の機器で用いられることを条件とし、複数のハードウェア機器上で同時に使用することはできません。複数のユーザが製品をネットワーク上で使用する場合は、各ユーザがライセンスを所有していただく必要があります。ライセンシーがハードウェアを変更した場合は、そのハードウェア上の同ソフトウェアをすべて消去しなくてはいけません。
3.4 ライセンシーは、契約で合意された用途に必要な場合において、許諾ソフトウェアを複製することができます。ライセンシーは、将来の使用を保証する場合において、バックアップを作成できます。
3.5 ライセンシーは、購入したソフトウェアの同意された機能を保存または復元する場合を除き、ソフトウェアを修正することはできないものとします。
3.6 第三者
a) 許諾ソフトウェアを第三者に貸与することは明確に禁じられています。
b) 本EULAで特別に規定されていない場合において、ライセンシーはソフトウェアを第三者に転売、あるいはソフトウェアを無償で譲渡してもよいものとします。ただし、同第三者が書面上で本EULAに同意し、ライセンシーがソフトウェアの使用をすべて中止し、インストールされたソフトウェアのコピーをコンピュータから完全に削除し、もしソフトウェアがダウンロード経由で購入されていない場合は、オリジナルのデータ媒体を消去するか、第三者に譲渡すること（法律により、ライセンシーが長期保管を義務付けられていない場合）を条件とします。さらに、ライセンシーは購入したソフトウェアの登録を削除しなければなりません。登録済みのメールアドレスを介して、ライセンシーがNative Instrumentsに登録削除のリクエストを出すと、Native Instrumentsから第三者に製品のシリアル番号が送信され、同時にライセンシーのソフトウェア登録が削除されます。
3.7 購入した製品にサウンドライブラリが含まれている場合は、EULAに加えて次の「サウンドライセンス同意」が適用されます。
提供されたサンプル、インストゥルメント、プリセットは、本サウンドライセンス同意に基づき、Native Instrumentsによる事前の許可なしでも、商用または非商用の音楽およびオーディオの制作に使用できます。本製品（特に、サンプル、インストゥルメント、プリセット）をサウンドライブラリ、あるいは各種シンセサイザーやバーチャル・インストゥルメント、サンプルライブラリ、サンプルベースの製品、その他の音楽インストゥルメントのサウンドライブラリとして使用することは固く禁じられています。個々のサンプル、サウンドセット、オーディオループを（商用またはその他の方法で）配布することはできません。 さらに、これらのサンプル、サウンドセット、オーディオの全体あるいは一部分を、オーディオサンプル、サウンドライブラリあるいはサウンドエフェクトとして再パッケージすることはできません。
3.8 加えて、ある特定のNative Instruments製品には以下が適用されます。
a) バンドル製品（ハードウェアとソフトウェアの製品パッケージ、あるいはソフトウェアのみのパッケージ）は、それ一式で転売、譲渡することが出来ます。バンドルのコンポーネントを個別に転売、譲渡することはできません。
b)"NFR" (非売品)とラベルが貼られてたり、またはそのように提供されたNative Instruments製品は、デモ、テスト、評価の目的にのみ使用されるものとします。NFR製品は転売・譲渡できません。NFR製品はアップデート、アップグレードまたはクロスグレードオファーの対象外で、バウチャーやクーポンを使って購入や交換もできません。加えて、NFR製品のユーザー様には、当該製品の標準バージョンに同梱されるバウチャーの請求権もありません。
c) "EDU" （教育関係者向け）バージョンのラベルが貼られていたり、あるいはそのように提供されたNative Instruments製品は、学生または教育機関に勤務する方々が使用するものとします。ここには、教育機関（私立・公立学校、単科大学、総合大学ならびそれに類するもの）に在籍する学生、または勤務する教職員、および管理者が含まれます。EDU製品を商業目的に使用したり、転売・譲渡することはできません。EDU製品はアップデート、アップグレードまたはクロスグレードオファーの対象外で、バウチャーやクーポンを使って購入や交換もできません。加えて、EDU製品のユーザー様には、当該製品の標準バージョンに同梱されるバウチャーの請求権はありません。
d) "デモバージョン"とラベルが貼られていたり、あるいはそのように提供されたNative Instruments製品は、デモ、テスト、評価目的にのみ使用するものとします。デモバージョン製品を営利目的で使用したり、転売・譲渡したりすることはできません。
IV. 第三者の権利
Native Instrumentsのソフトウェア製品に含まれるコンテンツの一部、並びにこれに関する知的財産権及び法的権利は第三者に属し、著作権あるいは他の知的財産法や条約によって保護されている場合があります。
V. 保護義務
製品の著作権表示、シリアル番号、およびその他の識別特性は、ソフトウェアから削除したり、いかなる方法でも変更してはいけません。
VI. 保証、法的責任、損害賠償
保証、法的責任、損害賠償の請求に関しましては、Native Instrumentsの一般取引条件を適用するものとします。

VII.最終条項
7.1 本EULAの契約が完全または部分的に無効だったり、又はそうなる場合であっても、残りの契約の有効性には影響しません。当事者はその代わりに、無効な規定を当初意図された目的に可能な限り近い有効な規制に置き換える義務を負っています。
7.2 ライセンシーが、ドイツ商法（HGB）における卸売商、公法における法人、あるいは公法における特別基金である場合、裁判籍と履行地はベルリン（ドイツ）とします。しかしながらNative Instrumentsはライセンシーの居住地ならびに業務遂行地において、ライセンシーを訴える権利を留保します。
7.3 本EULAはドイツ連邦共和国の法律に準拠し、国際物品売買契約に関する国際連合条約（CSIG）は適用されないものとします。海外に定期的に居住する消費者には、居住地の法律が強制的に準拠される場合があります。書面による別の合意がない限り、契約上の言語はドイツ語です。

VII.最終条項
